MagVenture Website Terms of Use

Terms of Use

Last Updated October 2026

These Website Terms of Use (the “Terms”) govern your access to and use of www.magventure.com, including its regional websites, landing pages, online shops, customer universe (MagVenture Universe) and other webpages operated by MagVenture A/S or its affiliates under that domain (collectively, the “Site”). Please read these Terms before using the Site.

1. Scope and Acceptance

1.1 Application. The Site is operated by MagVenture A/S, a company organized under the laws of Denmark (“MagVenture A/S”), and, with respect to its U.S. regional website and related U.S. commercial activities, MagVenture, Inc., a Georgia corporation (“MagVenture Inc.”). References to “MagVenture”, “we”, “us”, or “our” mean the applicable entity responsible for the relevant portion of the Site or activity, as the context requires. Unless expressly agreed otherwise, MagVenture A/S and MagVenture Inc. are responsible only for their respective obligations.

1.2 Acceptance. By accessing or using the Site, you agree to these Terms. If you use the Site on behalf of a business or other organization, you represent that you are authorized to act on its behalf. If you do not agree to these Terms, close the Site, and cease use immediately.

1.3 Separate Agreements. These Terms govern use of the Site and do not govern the purchase, installation, licensing, operation, or use of MagVenture products, equipment, software, or services, including the MagPro product family and 360neo software products. Those matters are governed by the applicable sales agreements, purchase terms, software licenses, service agreements, warranties, instructions for use, and other product-specific documentation. Where applicable, separate data processing agreements, business associate agreements, and regulatory disclosures, including notices under the EU Data Act, also apply. If these Terms conflict with a separate agreement concerning the subject matter of that agreement, the separate agreement controls.

2. Access and Permitted Use

2.1 Permitted Use. You may access and use the Site for lawful personal, educational, informational, and internal business purposes, including learning about MagVenture products, requesting information, contacting MagVenture, and accessing resources made available to you. Your use must comply with these Terms and applicable law.

2.2 Prohibited Activities. You may not:

(a) use the Site for any unlawful, fraudulent, misleading, or unauthorized purposes;

(b) interfere with the Site’s operation, security, availability, or the ability of others to use it, including by introducing malicious code, attempting unauthorized access, or circumventing security measures;

(c) use automated tools to scrape, systematically extract, harvest, or commercially exploit Site content or data without MagVenture’s prior written consent, except where permitted by applicable law or standard public search-engine indexing;

(d) reproduce, distribute, modify, republish, or commercially exploit Site content except as expressly permitted by these Terms, applicable law, or MagVenture’s written authorization;

(e) impersonate another person or organization, misrepresent your relationship with MagVenture, or submit false or misleading information; or

(f) use the Site or its content in a manner that infringes another person’s intellectual property, privacy, or other legal rights.

3. Accounts and Customer Resources

3.1 Accounts. Certain Site functions, including online shops or customer resources, may require registration or an account. When creating an account, you must provide accurate and current information, be legally capable of entering into the applicable arrangement, and maintain the confidentiality of your credentials. You are responsible for activity conducted through your account except to the extent resulting from MagVenture’s own acts or omissions. You must promptly notify MagVenture of suspected unauthorized access.

3.2 Authorized Access. Certain materials and functions may be limited to MagVenture customers, healthcare professionals, authorized representatives, or other designated users. Access to those materials or functions does not grant rights beyond the scope authorized by MagVenture or the applicable separate agreement.

3.3 External Platforms. MagVenture may provide access to customer portals, educational resources, training environments, or other services hosted on separate platforms, including MagVenture Universe. Use of those platforms may be subject to additional terms and privacy notices presented by MagVenture or the applicable platform provider. These Terms do not replace those separate terms

4. Medical, Clinical, and Product Information

4.1 Informational Purposes. The Site contains information about transcranial magnetic stimulation, medical devices, clinical applications, research, and related subjects. This information is provided for general educational and informational purposes and does not constitute individualized medical advice, diagnosis, treatment, or a recommendation to undertake or discontinue any particular treatment. MagVenture does not provide healthcare services through the Site.

4.2 Professional Judgment. Patients and other individuals should consult a qualified healthcare professional regarding medical conditions, treatment options, risks, and suitability for treatment. Healthcare professionals remain responsible for their independent clinical judgment, patient assessment, treatment decisions, and compliance with applicable professional and regulatory requirements. The Site is not intended for medical emergencies.

4.3 Product Safety and Intended Use. MagVenture medical devices and related products must be selected, installed, operated, maintained, and used only in accordance with their applicable instructions for use, labeling, safety information, intended purposes, and regulatory requirements. Information on the Site does not replace or modify those requirements or authorize any use outside a product’s approved or otherwise legally permitted indications. If general Site content differs from the applicable instructions for use or approved labeling, the latter controls with respect to product safety, operation, and intended use.

4.4 Regional Availability and Regulatory Status. Product availability, configurations, features, indications, regulatory clearances or approvals, and permitted uses may differ by country or region. A product or application described on the Site may not be available or authorized in every jurisdiction. References to regulatory clearances, certifications, or approvals apply only to the products, indications, and jurisdictions to which they relate.

4.5 Illustrations, Results, and Testimonials. Product images, descriptions, demonstrations, testimonials, case studies, and information concerning clinical, operational, or commercial outcomes may reflect particular products, configurations, circumstances, or individual experiences. Actual results, including clinical outcomes, patient throughput, operating costs, and financial performance, depend on circumstances and are not guaranteed unless expressly stated in an applicable written agreement. Nothing in this Section limits MagVenture’s responsibility to provide accurate information or comply with applicable advertising and consumer protection laws.

4.6 Healthcare Provider Listings. The Site may identify independent healthcare providers or clinics that use MagVenture equipment. Such providers are independently responsible for their professional qualifications, licensing, services, patient care, and clinical decisions. A listing does not establish an employment, agency, or healthcare-provider relationship with MagVenture or constitute a guarantee of a provider’s qualifications, services, availability, or treatment outcomes.

5. Products, Purchases, and Other Services

5.1 Product Information and Inquiries. Product descriptions, availability information, promotional materials, and other commercial content on the Site are provided for general information and may be updated. Unless expressly stated otherwise, submitting an inquiry, requesting a consultation or quotation, or using a product selection tool does not create a purchase agreement or obligate MagVenture to supply any product or service. Any purchase or other commercial arrangement is subject to acceptance under the applicable transaction terms.

5.2 Online Shops. Purchases made through a MagVenture online shop are subject to the sales, payment, delivery, return, warranty, and other terms applicable to the relevant transaction, including terms presented during checkout and any applicable published webshop policies. The identity of the seller and the applicable commercial obligations are determined by those transaction terms. These Terms do not independently modify product warranties, return rights, payment obligations, or other rights and remedies associated with a purchase, including rights that cannot lawfully be excluded.

5.3 Software and Digital Services. Access to or use of MagVenture software, including 360neo Basic, 360neo Pro, 360neo Enterprise and related digital services, is subject to the applicable software license, subscription, service, and data-protection agreements. References to software or digital services on the Site do not grant any software license or subscription rights.

5.4 Third-Party Products and Services. Certain products, accessories, integrations, educational materials, or services described on the Site may be supplied or operated by third parties. Their availability, purchase, and use may be subject to separate terms established by the applicable provider.

6. Intellectual Property

6.1 Ownership. The Site and its contents, including text, images, graphics, videos, product descriptions, documentation, designs, software, trademarks, logos, and other materials (collectively, “Site Content”) are owned by or licensed to MagVenture and are protected by applicable intellectual property laws. All rights not expressly granted are reserved.

6.2 Limited Permission. Subject to these Terms, MagVenture grants you a limited, non-exclusive, non-transferable, and revocable permission to access and use Site Content for the purposes permitted under Section 2.1. You may download or print reasonable portions for personal reference or internal business use, provided you retain applicable proprietary notices and do not modify or misrepresent the materials. Product instructions for use and other technical documentation may also be used as expressly permitted by their applicable terms or as necessary for the lawful use of the relevant products.

6.3 Trademarks. MagVenture, MagPro, 360neo, and other names, logos, product marks, and identifiers appearing on the Site are trademarks or other proprietary marks of MagVenture or their respective owners. No right to use any trademark is granted except with the owner’s prior written permission or as otherwise permitted by law.

7. Information Submitted to MagVenture

7.1 Inquiries and Communications. When you submit information through contact forms, consultation requests, account registration, or other Site functions, you represent that the information is accurate to the best of your knowledge and that you are authorized to provide it. MagVenture may use and share that information as reasonably necessary to respond to your inquiry, administer the requested interaction, and carry out other lawful purposes described in the applicable privacy notice.

7.2 Confidential and Patient Information. Unless MagVenture has expressly designated a secure channel for that purpose and the necessary contractual and legal safeguards are in place, you must not submit patient records, protected health information, special-category personal data, or other sensitive clinical information through ordinary website forms, marketing inquiries, or general communications channels. These restrictions do not alter obligations arising under an applicable data processing agreement, business associate agreement, or mandatory data-protection law.

7.3 Suggestions and Feedback. If you voluntarily provide suggestions, ideas, or feedback concerning the Site or MagVenture products or services, MagVenture may use them to evaluate, develop, and improve its business, products, and services without compensation or other obligation to you. This permission does not override applicable privacy laws, third-party intellectual property rights, or obligations under a separate written confidentiality agreement.

8. Privacy and Cookies

8.1 Privacy Notices. MagVenture’s collection, use, storage, and disclosure of personal information through the Site are described in the privacy and cookie notices applicable to the relevant website, region, or activity. Those notices should be reviewed separately from these Terms. Where personal information is processed under a separate customer agreement, data processing agreement, or business associate agreement, that arrangement governs the relevant processing obligations.

8.2 Cookies and Tracking Technologies. The Site may use cookies, analytics, and other tracking technologies as described in the applicable privacy or cookie notice. Where consent is required by law, MagVenture will seek that consent through the appropriate mechanism. Acceptance of these Terms does not itself constitute consent to optional cookies or other processing that independently requires consent.

9. External Websites and Third-Party Content

9.1 External Links. The Site may contain links to independently operated websites, social media platforms, research publications, educational resources, and other third-party content. MagVenture does not control those resources and is not responsible for their availability, security, content, or practices, except to the extent required by applicable law.

9.2 No General Endorsement. A link or reference does not, by itself, constitute MagVenture’s endorsement of a third party, its products, services, opinions, or representations. Your interactions with third parties are governed by the applicable terms and policies of those parties.

10. Disclaimers

10.1 Website Availability and Accuracy. MagVenture makes reasonable efforts to maintain useful and accurate information on the Site. However, Site Content may contain errors, omissions, or outdated information, and the Site may be interrupted or unavailable from time to time. To the maximum extent permitted by law, the Site and its content are provided “as is” and “as available”, without warranties concerning continuous availability, uninterrupted operation, completeness, accuracy, or fitness for a particular purpose.

10.2 No Additional Product Warranty. Nothing on the Site creates or expands any product warranty, performance commitment, clinical guarantee, or service-level obligation unless expressly incorporated into an applicable agreement. This Section does not disclaim or limit an express warranty under a separate agreement or any warranty, representation, or statutory right that cannot lawfully be excluded.

11. Limitation of Liability

11.1 Excluded Damages. To the maximum extent permitted by applicable law, MagVenture and its affiliates, and their respective officers, directors, employees, and agents, will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data, arising solely from access to, use of, or inability to use the Site, regardless of the legal theory asserted or whether the possibility of such damages was disclosed.

11.2 Liability Cap. To the maximum extent permitted by applicable law, MagVenture’s total aggregate liability arising solely from access to, use of, or inability to use the Site will not exceed USD $1,000 for claims governed by U.S. law or EUR €1000 for claims governed by non-U.S. law. This limitation applies only to claims relating to the Site itself and does not limit liability arising under a separate product, purchase, software, service, or other agreement.

11.3 Mandatory Rights and Exceptions. Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence, death or personal injury to the extent such liability cannot lawfully be limited, or any other liability that applicable law prohibits excluding or limiting. These Terms do not restrict any non-waivable consumer rights or remedies.

12. Indemnification by Business Users

12.1 Business Users. If you use the Site in the course of a trade, business, or professional activity, you agree to defend, indemnify, and hold harmless MagVenture, its affiliates, and their respective officers, directors, employees, and agents against third-party claims, damages, liabilities, and reasonable legal expenses to the extent arising from your unlawful use of the Site, infringement of another person’s rights through information or materials you submit, or material violation of these Terms. This obligation does not apply to the extent a claim results from MagVenture’s own acts or omissions or where indemnification is prohibited by applicable law.

13. Changes and Termination

13.1 Changes to These Terms. MagVenture may update these Terms to reflect changes in the Site, its operations, or applicable legal requirements. Updated Terms will be posted on the Site with a revised effective date. Material changes affecting registered users may also be communicated through the Site, by email, or through another reasonable method where required by law. Changes apply prospectively and do not amend separate agreements or affect rights or obligations that have already accrued.

13.2 Continued Use. Your continued use of the Site after revised Terms take effect constitutes acceptance of those Terms to the extent permitted by applicable law. If you do not agree to a revision, you must stop using the Site.

13.3 Suspension and Termination. MagVenture may suspend or terminate access to the Site or a Site account where reasonably necessary because of misuse, security concerns, a material violation of these Terms, or legal requirements. Suspension or termination of Site access does not independently terminate or modify rights under a separate product or service agreement.

14. Governing Law and Disputes

14.1 United States. For disputes arising from use of the U.S. regional Site or Site activities provided by MagVenture Inc., these Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws principles. Subject to Section 14.3, any legal action arising under these Terms must be brought in the state or federal courts located in Atlanta, Georgia.

14.2 Other Jurisdictions. For disputes arising from use of other portions of the Site or Site activities provided by MagVenture A/S, these Terms are governed by the laws of Denmark, without regard to its conflict of laws principles. Subject to Section 14.3, any legal action arising under these Terms must be brought before the competent courts in the judicial district of MagVenture A/S’s registered office in Denmark.

14.3 Mandatory Consumer Protections. Nothing in this Section deprives a consumer of the protection of mandatory laws applicable in the consumer’s country of habitual residence where those laws apply, including non-waivable rights concerning jurisdiction, available remedies, or the applicable law. Any choice of law or forum applies only to the extent enforceable under those requirements.

15. General Provisions

15.1 Entire Terms and Priority. These Terms constitute the agreement governing use of the Site and supersede prior website terms concerning the same subject matter. These Terms do not supersede or modify separate agreements, product documentation, warranty obligations, or regulatory disclosures applicable to MagVenture products and services.

15.2 Severability. If a provision of these Terms is held invalid or unenforceable, the remaining provisions will remain effective to the extent permitted by law.

15.3 No Waiver. MagVenture’s failure or delay in exercising a right under these Terms does not constitute a waiver of that right.

15.4 Assignment. MagVenture may transfer its rights and obligations under these Terms to an affiliate or successor in connection with a reorganization, merger, or transfer of the relevant business or Site, subject to applicable law and without reducing any non-waivable rights.

15.5 Language. These Terms are prepared in English. Translations may be made available for convenience or to comply with local requirements. Subject to applicable law, the English version controls in the event of an inconsistency.
